TERMS & CONDITIONS

On-Demand Driver Solutions

By booking or engaging DriveXcel services through this website or any other communication channel, you agree to the following Terms & Conditions.

  1. SERVICE OVERVIEW

DriveXcel provides trained, verified, and professionally managed drivers for emergency and short-notice vehicle operations.

Drivers are deployed based on:

  • Vehicle type
  • Location
  • Duration of service
  • Operating conditions
  • Risk profile

DriveXcel reserves the right to decline service where safety, compliance, or operational risks are identified.

  1. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide a roadworthy and mechanically sound vehicle
  • Ensure vehicle is properly insured and licensed
  • Provide lawful and safe driving instructions
  • Maintain a respectful and harassment-free environment
  • Comply with Nigerian traffic and safety regulations
  • Respect mandatory driving hour and rest requirements
  • Make payment as agreed before deployment (unless otherwise approved)

DriveXcel may suspend or terminate service if these obligations are breached.

  1. DRIVING HOURS & FATIGUE POLICY

To ensure safety:

  • Maximum driving hours per day: 10 hours
  • Mandatory total rest: Minimum 60 minutes
  • Maximum continuous driving: 5 hours
  • Mandatory break after 5 hours: Minimum 30 minutes

Clients must not compel drivers to exceed these limits.

  1. SCOPE OF SERVICE

DriveXcel provides:

  • Professional driver supply
  • Emergency deployment
  • Driver monitoring and supervision
  • Replacement of non-performing drivers (where justified)
  • Incident reporting and communication

Exclusions

DriveXcel is not responsible for:

  • Vehicle maintenance or repairs
  • Fuel provision
  • Insurance of client vehicles
  • Mechanical breakdowns
  • Traffic fines resulting from vehicle defects
  • Cargo or goods inside the vehicle
  • Losses arising from unlawful client instructions

  1. DRIVER STANDARDS

All deployed drivers meet minimum requirements including:

  • Valid Nigerian driver’s licence
  • Minimum 3 years driving experience
  • Background and guarantor verification
  • Medical fitness assessment
  • Defensive driving training
  • Zero tolerance for drugs and alcohol
  • Professional conduct training

DriveXcel reserves the right to withdraw or replace a driver where necessary.

  1. LIABILITY LIMITATION

DriveXcel is responsible for ensuring professional conduct of its drivers during official duty hours.

However, DriveXcel shall not be liable for:

  • Mechanical failures
  • Vehicle defects
  • Accidents caused by poor vehicle condition
  • Losses arising from client instructions that violate traffic laws
  • Force majeure events

Where liability is legally established, DriveXcel’s total liability shall not exceed the service fee paid for the specific assignment.

  1. INDEMNITY

The Client agrees to indemnify and hold harmless DriveXcel, its directors, officers, employees, and drivers against any claims, losses, damages, liabilities, or expenses arising from:

  • Use of unsafe or defective vehicles
  • Client’s breach of these Terms
  • Unlawful instructions given to the driver
  • Third-party claims resulting from vehicle condition
  • Misrepresentation of vehicle insurance or compliance status

This indemnity survives termination of service.

  1. NON-SOLICITATION OF DRIVERS

The Client agrees not to directly or indirectly:

  • Employ,
  • Engage,
  • Solicit, or
  • Offer employment to any DriveXcel driver

during the period of engagement and for a period of 12 months after the last assignment, without written consent from DriveXcel.

Where breach occurs, the Client agrees to pay a driver conversion fee equivalent to 6 months of the driver’s service value or as determined by DriveXcel.

  1. INTELLECTUAL PROPERTY

All intellectual property including:

  • Brand name
  • Logo
  • Website content
  • Training materials
  • Service systems
  • Operational processes

remain the exclusive property of DriveXcel.

No reproduction, copying, reverse engineering, or unauthorized use is permitted without written consent.

  1. BRAND PROTECTION

Clients shall not:

  • Use DriveXcel’s name, logo, or brand for marketing without approval
  • Misrepresent the nature of the relationship
  • Publicly issue statements affecting DriveXcel’s reputation without prior engagement

DriveXcel reserves the right to take legal action where brand misuse occurs.

  1. PAYMENT TERMS
  • Emergency services require advance payment unless otherwise approved.
  • Additional hours attract additional charges.
  • Overnight services attract premium rates.
  • Late cancellation may attract cancellation fees.
  • Outstanding payments may result in suspension of future service.

All payments are subject to applicable VAT and statutory taxes.

  1. INCIDENT REPORTING

In the event of an accident or incident:

  • Driver must notify DriveXcel immediately
  • Client must notify DriveXcel within 1 hour
  • Police report must be obtained where required
  • No admission of liability shall be made without investigation

  1. CONFIDENTIALITY

All information exchanged during service shall remain confidential and used solely for service purposes, except where disclosure is required by law.

  1. DATA PROTECTION

DriveXcel processes personal data in accordance with applicable Nigerian data protection regulations.

  1. FORCE MAJEURE

DriveXcel shall not be liable for delays or failure caused by:

  • Natural disasters
  • Civil unrest
  • Government restrictions
  • Security threats
  • Road closures

  1. GOVERNING LAW

These Terms & Conditions are governed by the laws of the Federal Republic of Nigeria.

Disputes shall first be resolved amicably. Where unresolved, parties may proceed to arbitration or competent court jurisdiction in Nigeria.

  1. ELECTRONIC ACCEPTANCE

By clicking “Book Now,” “Confirm Booking,” or completing payment on this website, the Client:

  • Confirms acceptance of these Terms & Conditions
  • Enters into a legally binding agreement with DriveXcel
  • Agrees that electronic acceptance constitutes valid contractual consent under Nigerian law

DriveXcel reserves the right to update these Terms & Conditions at any time. Updated versions will be published on the website with revised effective date.
